Notice of Unitarian Universalist Community of Casper WY Congregational Meeting

Date and time of Congregational Meeting: Sunday, December 19, 2021, 10:55 am, immediately following the service

How to attend: In person at the Unitarian Universalist Community of Casper (UU Casper), 1040 W. 15th Street, Casper, WY 82604, or online in the UU Casper Zoom room (click here for a link to the Zoom room)

Purpose of Congregational Meeting: To hold a member vote on proposed amendments to the Articles of Incorporation, as required by the UU Casper Bylaws Article XIV

Proposed Amendments to the Articles of Incorporation: The Board of Trustees proposes the following amendments to the Unitarian Universalist Community of Casper WY Articles of Incorporation:

Articles 8 and 9 of the Articles of Incorporation are amended to read as follows:

“Article 8. Provisions regarding the distribution of assets upon dissolution are: Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.”

“Article 9. List the type of business and purpose of the nonprofit corporation: Said organization is organized exclusively for charitable, religious, educational, and scientific purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations described under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Reason for the proposed amendments to the Articles of Incorporation: The reason for the amendments is to adopt the specific wording required by the IRS for approval of our Sec. 501(c)(3) tax-exemption application. The wording of the amendments aligns with Wyoming statutes, and with our bylaws and policies. Churches are not required by the IRS to apply for 501(c)(3) tax-exemption. However, approval of our 501(c)(3) tax-exemption application will allow us to become eligible for certain benefits available only to IRS-approved 501(c)(3) non-profits. An example of such a benefit is a no-cost Google non-profit Workspace account which can be used for more efficient and secure collaboration and records storage.

Notice of Congregational Meeting: The 30 day meeting notice required by the UU Casper Bylaws Article XIV, including an announcement of the proposed amendments, has been published on November 18, 2021, in the weekly e-newsletter and at uucasper.org.
